1. Introduction

Youpalgroup welcomes you ("User" or "you") to our Platform, which is owned and operated by Youpal AB ("Youpalgroup", "We", "Us" or "Our"). We understand and respect the importance of your privacy and are committed to safeguarding your personal information. These Terms and Conditions ("T&Cs") govern your access to and use of Platform, outlining your rights and responsibilities, as well as ours, in providing reliable and efficient services. Platform is an online space where Users buy and sell services. Users must register for an account in order to buy or sell services, work together online to complete and pay for projects, and use the services we provide regarding facilitating connections between Users ("Services").

2. Acceptance of terms

By accessing and using our Platform, you agree to comply with and be bound by these T&Cs, which encompass various aspects including but not limited to user conduct, service provisions, intellectual property rights, and limitations of liability. We urge you to thoroughly read and understand these T&Cs before engaging with Platform. If you are accessing or using Platform on behalf of a company or other legal entity ("User Entity"), it is essential that you possess the legal authority to enter into these T&Cs on behalf of the User Entity. If you do not possess such legal authority, or if you do not agree with any part of these T&Cs, you are not permitted to accept these T&Cs, and consequently, you must not access or use Platform.

3. Updates

It's important to periodically review these T&Cs, as we reserve the right to modify or update them at any time. Such modifications will be effective immediately upon posting the revised terms on Platform, and your continued use of Platform following any such changes indicates your acceptance of the new T&Cs. Your agreement to T&Cs also signifies your understanding that Platform may evolve over time, including changes, removal, or addition of features, services, or content. By accepting these T&Cs, you acknowledge that the terms of our Privacy Policy are also part of your agreement with Us. By using Platform, you affirm that you are of legal age to enter into these T&Cs.

4. General terms

In compliance with these T&Cs, Youpalgroup grants you permission to access and use Platform and its content primarily for the purpose of evaluating Youpalgroup and its services. All rights, titles, and interests in and to Platform and its content shall remain exclusively with Youpalgroup. You are prohibited from sublicensing, reselling, renting, leasing, transferring, assigning, timesharing, or commercially exploiting Platform and its content; using them in any unlawful manner or in any way that disrupts or interferes with their integrity or performance; and modifying, adapting, or hacking them to gain unauthorized access to restricted areas, related systems, or networks.

You are not authorized to copy, modify, frame, repost, publicly perform or display, sell, reproduce, distribute, or create derivative works of Platform and its content. However, you may download, display, and print one copy of publicly available materials on a single computer for your personal, non-commercial use, provided that you do not modify the material and maintain all copyright, trademark, and other proprietary notices. You are prohibited from using any means such as "page-scrape," "deep-link," "spider," or "robot" to access, copy, or monitor any part of Platform. You are solely responsible for all data, information, and content that you upload, post, or store in connection with Platform. Youpalgroup and its licensors retain all rights in logos, company names, marks, trademarks, copyrights, trade secrets, know-how, patents, and patent applications related to Platform and its content.

In addition to these T&Cs, Users of Youpalgroup's services are required to execute separate agreements, including non-disclosure agreements specific to each individual project or collaboration. Before commencing any project or cooperation, Users must review and agree to the terms set forth in the respective supplementary agreement, duly signed by the User and an authorized representative of Youpalgroup. Where there is a discrepancy or conflict between the general T&Cs and a specific supplementary agreement, the terms of the supplementary agreement will take precedence. Once signed, these supplementary agreements are legally binding.

5. Use of intellectual property

When you post your information and other content ("User content") on or through Platform, you grant Youpalgroup a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, modify, reproduce, distribute, display, publish, and perform User content in connection with Platform and its content. Youpalgroup reserves the right, but not the obligation, to monitor Platform, including User content, and may remove or disable any User content at any time for any reason or without any reason at all.

You acknowledge that the operation of Platform, including the transmission of User content, may be unencrypted, and you bear sole responsibility for the security, protection, and backup of your User content. You are welcome to submit ideas, suggestions, or comments ("Feedback"), which Youpalgroup may use and exploit without obligation, compensation, or attribution. You represent and warrant that your activities on Platform and Youpalgroup's use of User content do not and will not infringe upon any third party's copyright, trademark, rights of privacy or publicity, or other proprietary rights, and that your User content does not contain any defamatory, obscene, unlawful, threatening, abusive, tortious, offensive, or harassing material. Youpalgroup reserves the right, at its sole discretion and without prior notice, to terminate your access to Platform if it is determined that you have violated these T&Cs.

6. No warranties and disclaimer

Platform, including all server and network components, is provided on an "AS IS" and "AS AVAILABLE" basis, with all errors and defects, and without any warranties of any kind. We expressly disclaim all representations and warranties, whether express or implied, including any implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. You acknowledge that we do not warrant that your access to, or use of, Platform will be uninterrupted, timely, secure, error-free, or free from viruses, and we do not make any warranty regarding the results that may be obtained from the use of Platform. Youpalgroup reserves the right, at any time and without notice, to modify, suspend, or terminate operation of or access to Platform, and to interrupt its operation as necessary to perform routine or non-routine maintenance, error correction, or other changes.

7. Applicable law

These T&Cs and any separate agreements whereby Youpalgroup provides you Services shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Your use of Platform and any dispute arising out of such use is subject to the laws of this jurisdiction. By using Platform, you agree that the courts in this jurisdiction will have exclusive jurisdiction over any claim or dispute with Youpalgroup or relating in any way to your account while using Platform.

8. Miscellaneous

These T&Cs, together with any additional terms or policies referenced herein, constitute the entire agreement between you and Youpalgroup regarding Platform and Services, and supersede all prior agreements and understandings, whether written or oral. If any provision of these T&Cs is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. No waiver by Youpalgroup of any term or condition shall be deemed a further or continuing waiver of such term or condition. You may not assign or transfer these T&Cs without Youpalgroup's prior written consent, while Youpalgroup may freely assign or transfer them. All notices related to these T&Cs shall be in writing and given by email or postal mail. Neither party shall be liable for any failure to perform its obligations if the failure is caused by circumstances beyond its reasonable control, including acts of God, war, riots, or natural disasters.
